Zein Agency will provide digital marketing services, including but not limited to, search engine optimization (SEO), pay-per-click (PPC) advertising, social media marketing, and email marketing.
The client will be invoiced on a monthly basis for services rendered. Payment is due within 14 days of receipt of the invoice.
Either party may terminate this agreement with written notice. In the event of termination by the client, any unpaid invoices will be due immediately.
Both parties will keep all confidential information, including but not limited to, trade secrets, and proprietary information, strictly confidential.
Zein Agency represents and warrants that it has the necessary skills and expertise to provide the services outlined in this agreement. The client represents and warrants that it has the necessary rights to allow Zein Agency to use any content provided by the client for the purpose of providing the services outlined in this agreement.
The client will indemnify and hold Zein Agency harmless from any and all claims, damages, and expenses, including but not limited to, attorney's fees, arising out of or in connection with the services provided under this agreement.
This agreement will be governed by and construed in accordance with the laws of the United States.
This agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether oral or written.
If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
This agreement may not be modified or amended except in writing signed by both parties.
